The short version
Maridian is software that turns a voice note or message into an invoice and a payment link. It is a tool, not a bank.
We do not hold, route, or settle money. Payments are handled by licensed payment providers, under their own terms.
Automated transcription can make mistakes. You are responsible for reviewing every invoice before you send it or rely on it.
Only send recordings you have the right to send. If a recording includes another person, you must have their consent.
The Service is offered as it is, without guarantees, and our liability is limited. Disputes are resolved by arbitration, and you can opt out.
01 Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and Maridian, Inc. ("Maridian," "we," "us," or "our") that governs your access to and use of the Maridian website, waitlist and onboarding pages, and the Maridian messaging service (together, the "Service"). Please read them carefully.
By joining the waitlist, onboarding, sending a message to the Service, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Service on behalf of a business or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.
02 Definitions
Definitions
Service
The Maridian software and related websites, pages, and messaging functionality that convert voice notes and messages into invoices and payment links.
Merchant or User
A person or organization that uses the Service to create invoices and payment links. In these Terms, "you" generally means a Merchant.
Payer
A person or organization that receives an invoice or payment link created through the Service.
User Content
Any content you submit to the Service, including voice recordings, text messages, business information, and the information used to create an invoice.
Invoice
A commercial document generated by the Service that itemizes an order or service and its amount. An Invoice is not a tax invoice or a tax receipt.
Payment Provider or PSP
A third-party licensed payment service provider that processes payments and payouts. Maridian is not a Payment Provider.
03 Eligibility
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for use by businesses and operators for commercial purposes. By using the Service, you represent that you meet these requirements and that your use of the Service complies with all laws that apply to you. The Service is currently offered in the United States, and we make no representation that it is appropriate or available in other locations.
04 The Service
The Service
Maridian provides software that converts voice notes and text messages sent through supported messaging channels into structured invoices and payment links. When the Service is not confident about a price, quantity, or amount, it is designed to ask you to confirm rather than to guess.
Maridian is software, not a financial institution. Maridian does not hold, receive, route, or settle funds, and it is not a bank, money transmitter, money services business, payment processor, or provider of stored value or a wallet. Maridian generates invoices and payment instructions. Licensed Payment Providers handle the movement of money.
All payment processing is performed by one or more Payment Providers under their own agreements with you and with the Payer. Maridian is not a party to any payment transaction between you and a Payer, and Maridian is not responsible for processing, settling, or remitting funds, for identity verification, for anti-money-laundering compliance, or for chargebacks, refunds, or disputes, all of which are handled by the Payment Provider. The Service does not provide tax, accounting, legal, or financial advice. Invoices generated by the Service are commercial documents, and you are responsible for your own tax and regulatory compliance, including any sales tax or similar obligations.
05 Your account and responsibilities
Your account and responsibilities
To use the Service, you may need to provide information about yourself or your business and to connect a Payment Provider account. You agree to provide accurate and complete information and to keep it up to date. You are responsible for all activity that occurs through the messaging account, device, and any credentials you use to access the Service, and for keeping them secure. You must notify us promptly at legal@maridian.co if you believe your account or messaging number has been compromised or used without your authorization.
You are responsible for your relationship with your Payers, including the accuracy of your invoices, the goods or services you provide, and any refunds or disputes.

Messaging and communications
The Service operates through messaging. By using the Service, you consent to receive messages from us that are part of the Service, such as confirmation prompts, invoice deliveries, and notices about the Service or these Terms. Message and data rates from your carrier or messaging platform may apply. Standard messaging platform terms apply to your use of the messaging platform, and message delivery depends on that platform, which we do not control.
07 Acceptable use
Acceptable use
You agree not to use the Service to do any of the following, and not to help or permit anyone else to do so:
Break the law, or create invoices or payment requests that are fraudulent, deceptive, or unauthorized.
Submit content that you do not have the right to submit, or that infringes or violates the rights of others.
Submit a recording of another person without the consent required by law.
Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service or its systems.
Reverse engineer, decompile, or attempt to discover the source code, models, or underlying components of the Service, except to the extent this restriction is prohibited by law.
Use the Service, or any output of the Service, to build, train, or improve a competing product or a competing speech-recognition, transcription, or extraction model.
Use any automated means to access the Service in a way that exceeds normal use, or to scrape or harvest data from the Service.
Use the Service to transmit malware, or to send unlawful, harassing, or abusive content.
We may investigate and take appropriate action, including suspending or terminating access, if we believe you have violated these Terms.
08 Your content and voice recordings
Your content and voice recordings
You retain all rights you already hold in your User Content. You grant Maridian a non-exclusive, worldwide, royalty-free license to host, store, transmit, transcribe, analyze, process, and otherwise use your User Content in order to operate, provide, secure, and improve the Service, as described in our Privacy Policy. This license continues for de-identified information as described in the Privacy Policy, and otherwise ends when your User Content is deleted from the Service, except to the extent we are required or permitted to retain it.
You represent and warrant that:
You have all rights, permissions, and authority necessary to submit your User Content and to grant the license above.
Before you submit a voice recording or other content that includes the voice, image, or personal information of another person, you have obtained all consents required by applicable law, including any consent required to make and to share a recording of that person and to have it processed as described in the Privacy Policy.
Your User Content, and our use of it as permitted by these Terms, does not and will not infringe or violate the rights of any third party or any applicable law.
You are solely responsible for your User Content and for the consequences of submitting it.
Feedback
If you send us ideas, suggestions, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without any obligation to you.
09 Invoices and accuracy
Invoices and accuracy
The Service uses automated speech recognition and information-extraction systems, which may produce errors or omissions. The Service is designed to request confirmation when its confidence in a price, quantity, or amount is below a defined threshold, but this is a safeguard and not a guarantee of accuracy.
You are solely responsible for reviewing each Invoice and confirming that all information is accurate and complete before you send it to a Payer or rely on it. Maridian does not verify the underlying facts of any transaction and is not responsible for errors in, or the consequences of, any Invoice you approve, send, or rely on.
10 Payments and payment providers
Payments and payment providers
Payments are processed by a Payment Provider and are subject to the Payment Provider's terms and privacy policy, which you must accept in order to accept payments. You are responsible for maintaining your Payment Provider account in good standing. The Payment Provider, and not Maridian, is responsible for processing payments, settling and remitting funds, verifying identity, complying with applicable financial and anti-money-laundering rules, and handling chargebacks, refunds, and payment disputes.
You agree to pay the fees applicable to your use of the Service as we present them to you at the time of use or in your order or plan. Where a fee is payable to Maridian, you authorize the Payment Provider to collect that fee and remit it to Maridian at settlement, consistent with your agreement with the Payment Provider. Except as required by law or as expressly stated by us, fees are non-refundable. We may change our fees on reasonable notice.
11 Third-party services
Third-party services
The Service works together with services operated by other companies, including messaging platforms and Payment Providers. Your use of those services is governed by their own terms and policies, and they are responsible for their own services. Maridian does not control and is not responsible for third-party services, and their availability may affect the Service. Any dealings you have with a third party through the Service are solely between you and that third party.
12 Intellectual property
Intellectual property
The Service, including all software, models, designs, text, graphics, and other materials we provide, and all intellectual property rights in them, are owned by Maridian or its licensors and are protected by law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. We reserve all rights not expressly granted.
You retain ownership of the Invoices generated for you and of your underlying business information. You may use those Invoices for your own business purposes. Nothing in these Terms transfers to you any rights in the Service or in Maridian's underlying technology, models, or data, and the restrictions in the acceptable use section apply. The Maridian name, logo, and brand are trademarks of Maridian and may not be used without our prior written permission.
13 Availability and changes
Availability and changes
The Service is under active development and is provided on an "as available" basis. We may add, change, suspend, or discontinue features or the Service, in whole or in part, at any time. We do not guarantee that the Service will be available, uninterrupted, timely, secure, or error-free, and the Service depends on third-party services that we do not control. We will make reasonable efforts to give notice of significant changes where practical.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, MARIDIAN DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ANY TRANSCRIPTION, EXTRACTION, OR INVOICE WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, OR AVAILABLE. MARIDIAN DOES NOT WARRANT THE PERFORMANCE OF ANY THIRD-PARTY SERVICE, INCLUDING ANY MESSAGING PLATFORM OR PAYMENT PROVIDER. NO ADVICE OR INFORMATION OBTAINED FROM THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
15 Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MARIDIAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT MARIDIAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF MARIDIAN FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO MARIDIAN FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS.
These limitations do not apply to liability that cannot be limited or excluded under applicable law. The limitations in this section apply to Maridian's liability to you. They do not limit your obligations under the indemnification section. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
16 Indemnification

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Maridian and its officers, directors, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or relating to: (a) your User Content; (b) your use of the Service; (c) your breach of these Terms or your representations in them; (d) your violation of any law or of the rights of any third party, including your failure to obtain any consent required to submit a recording of another person; or (e) your transactions or dealings with any Payer or other third party. We may assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us.
17 Term and termination
Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, including if we believe you have violated these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends. Sections of these Terms that by their nature should survive termination will survive, including the sections on User Content licenses for de-identified information, intellectual property, disclaimers, limitation of liability, indemnification, disputes and arbitration, governing law, and general provisions.
18 Disputes and arbitration
Disputes and arbitration
Please read this section carefully. It affects how disputes are resolved and requires most disputes to be resolved by binding arbitration on an individual basis.
Informal resolution first
If you have a dispute with us, you agree to first contact us at legal@maridian.co and to try in good faith to resolve it informally for at least 30 days before starting an arbitration or, where permitted, a court proceeding.
Binding arbitration
If the dispute is not resolved, you and Maridian agree that any dispute arising out of or relating to the Service or these Terms will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court, except as stated below. The arbitration will be conducted in the English language. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.
Class action waiver
You and Maridian agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.
Exceptions
Either party may bring an individual claim in small-claims court if it qualifies. Either party may also seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. Nothing in this section prevents either party from notifying a governmental authority of a dispute.
Your right to opt out
You may opt out of this arbitration and class-action waiver section by sending written notice to legal@maridian.co within 30 days after you first accept these Terms. Your notice must include your name and the messaging number or email associated with your use of the Service, and a clear statement that you want to opt out of arbitration. If you opt out, the governing law and venue section will govern any dispute.
19 Governing law and venue
Governing law and venue
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. For any dispute that is not subject to arbitration, or if the arbitration section is found not to apply, you and Maridian agree to the exclusive jurisdiction of, and venue in, the state and federal courts located in Delaware, and each party waives any objection to that jurisdiction and venue. To the extent permitted by law, each party waives any right to a jury trial.
Maridian is registered in the State of Delaware and currently provides the Service from the United States. If you use the Service from outside the United States, or as the Service becomes available in other countries, mandatory consumer-protection or data-protection laws of your country of residence may still apply to you. Nothing in these Terms limits any protection that cannot be waived under the law that applies to you, and where local law requires different or additional terms, those terms will govern to the extent of any conflict.
20 Changes to these terms
Changes to these terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date above and post the revised Terms on this page. If the changes are material, we will provide additional notice through the Service or by messaging you where appropriate. Your continued use of the Service after an update takes effect means you accept the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

General
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Maridian regarding the Service and replace any prior agreements on that subject.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, financing, or sale of assets.
Severability and waiver. If any provision of these Terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the rest will remain in effect. Our failure to enforce any provision is not a waiver of it.
Force majeure. Maridian is not liable for any failure or delay caused by events beyond its reasonable control, including acts of nature, outages, or failures of third-party services or networks.
Relationship. You and Maridian are independent parties. These Terms do not create any partnership, joint venture, agency, or employment relationship.
Notices and electronic communications. We may provide notices to you through the Service, by messaging, or by email, and you consent to receive communications from us electronically. You may send notices to us at legal@maridian.co.
